Job Responsibilities

The Sr. Director, Executive Compensation is responsible for design, administration, and monitoring of executive compensation programs. Prepares materials and presentations for the Compensation and Human Resources Committee of the Board of Directors. Effectively communicates and leads consultation with key executives, Legal, Finance and outside consulting firms as necessary to complete job responsibilities. Prepare data and information and supports compilation and review of required filings, including the proxy disclosure.  Will also serve as compensation consultant to various corporate function groups.

•Prepare materials for meetings of the Compensation Committee of the Board throughout the year.  Research and recommend agenda items for the Compensation committee, including making recommendations to senior management and preparing meeting materials.
•Manage executive compensation administration, including executive benchmarking, salary increases, short-term incentives, long-term incentives, key metric tracking, stockholder ownership guidelines, executive severance, and other executive policies.
•Proactively recommend enhancements or changes to current compensation programs, policies and processes for both immediate and long-term objectives.
•Consult with HR Business Partners, Talent Acquisition team and Hiring Managers to create competitive offer packages for key strategic executive hires.  Review and approve executive offer packages to ensure competitiveness and compliance with governance guidelines.
•Create models to test and refine incentive plans under various business scenarios.
•In collaboration with Legal, prepare executive compensation materials and documentation necessary for required filings, the annual proxy statement and annual shareholder meeting.
•Partner with Finance on executive compensation budget, tax and accounting issues.
•Participate in benchmarking forums, maintain executive compensation policies and procedures and prepare compensation related communications.

Other Job Responsibilities

•Perform compensation-related merger/acquisition/divestiture work as necessary – due diligence, retention, integration, etc.
•Provide related compensation support for the organization as needed: ad hoc reports and analyses, special projects, etc.
•Maintain awareness of latest trends and regulations regarding executive compensation.
•Provide compensation consulting and thought leadership to business leaders and business unit functions in close partnership with HR Business Partners.
•Perform complex analyses and presenting findings to senior management.
•Lead compensation related projects and initiatives involving multiple stakeholders with significant strategic and financial impact.
•Continually assessing market conditions and pay practices to ensure competitiveness of compensation plans and programs.
•Translate regulatory and policy governance/requirements into clear guidance for clients leveraging corporate partners, Board Committee consultants and firm-wide resources to achieve desired outcomes.
•Proven consulting skills

•Exceptional leadership, communication and influencing skills
•Experience in complex project management with the ability to deliver quality recommendations and solutions
•Solid skills in project management, developing concise written materials and PowerPoint presentations
•Proficient in the use of Microsoft Office (Word, Excel, PowerPoint)
•Excellent verbal, written and analytical skills
•Strong attention to detail

Minimum Qualification

•Bachelor’s Degree required, Master’s Degree preferred.
•10+ years compensation experience; incentive compensation plan design experience required
•5+ years of solid experience working in Executive Compensation
•Equity plan experience required
•Experience working with senior management, Boards and compensation committees required
•Global compensation experience preferred
•Experience with mergers and acquisitions preferred
•Desire to work in a fast-paced, constantly evolving environment; ability to work well under pressure and to manage multiple priorities
•Experience working within a large, complex, and matrixed organization
