Job Responsibilities

This position, reporting to the Managing Director of Corporate Legal, will play a key role in supporting Lam's corporate governance and securities filings. Working with the Managing Director of Corporate Legal, Lam's Chief Legal Officer, and other members of the Corporate Legal team, the position will support the board of directors and its committees, coordinate with executive leadership in planning and preparation for board and committee meetings, and manage and participate in the preparation of key public filings, including Lam’s proxy statement.


Responsibilities will include:

  • Provide timely and effective support to the Corporate Legal team.
  • Interact with legal team and corporate executives on a variety of legal and compliance matters.
  • Support the Board of Directors as well as the Audit, Compensation and Nominating and Governance Committees of the Board with agendas and meeting documents.
  • Support the Corporate Secretary’s maintenance of corporate records including certificate of incorporation, bylaws, minutes, charters, and other corporate documents.
  • Manage the preparation of the company’s annual proxy statement, coordinating inputs from business units across the company and maintaining document control.
  • Manage the preparation and dissemination of the Director and Officer questionnaire in connection with the annual report and proxy statement.
  • Administer and maintain the company’s board portal and internal SharePoint sites.
  • Maintain checklists related to internal legal activities.
  • Participate in preparation for the annual meeting of stockholders.

Other Job Responsibilities

  • Coordinate intake of subpoenas, garnishments and other legal documents.
  • From time to time, manage production of documents such as personnel files in response to subpoenas or employee requests. 
  • On occasion, work with internal and external counsel on international subsidiary governance.
  • Position is anticipated to be located in Fremont, California but a remote or Tualatin, Oregon location may be considered for exceptional candidates who are willing to travel from time to time.

Minimum Qualifications

  • Five plus years of significant experience as an in-house or law firm paralegal tasked with corporate governance activities in support of a U.S. public company
  • Good judgment, excellent attention to detail and high standards for work product
  • Excellent oral and written English-language skills
  • Ability to work independently with limited supervision and to collaborate successfully with other business groups
  • Willingness and desire to learn, and demonstrated ability to take initiative
  • Ability to prioritize competing demands, meet deadlines, and work proactively and efficiently
  • Must be nice and able to work well with others

Preferred Qualifications

  • Background or experience with in house legal department of a publicly traded company
  • Experience working with Diligent Boards, SharePoint and Microsoft Excel 
  • Notary credentials are a plus
  • Foreign language skills are a plus
  • Candidates of diverse backgrounds encouraged
